ADVISORY ON RESTRUCTURING AND CORPORATE CONFLICTS
BH26 is the only financial boutique focused on situations of corporate conflicts, corporate and
family restructuring, and management of minority interests. The services are always with law
firms, seeking to contribute a financial and business-oriented vision to these situations.
In mediation and arbitration cases, BH26 supports lawyers by providing support and qualified
financial analysis for arguments and theses.
Corporate and family firms restructuring
BH26 has developed a differentiated and pioneering operating model in the Brazilian
Independent Advisory market, free from any conflict of interest in situations of corporate
rearrangements.
Experience in managing highly complex situations, such as Shared Control, Activism, Family
Councils, Abuse of Power of Control, among others, provides a comprehensive approach to
diagnosis and allows personalized guidance for each conflict situation, considering similar
situations and seeking solutions singular.
BH26 brings a financial analysis bias to assist the actions of Administration and Fiscal Councils,
counting on legal support. The operating model includes support for shareholders in valuing
assets, seeking consensus and resolving disputes, and advising on the implementation of
decisions, drawing on extensive experience in negotiations between various parties involved in
conflictual situations.
Without a clear vision of the direction of the business, discussions between shareholders can
generate:
Slowdown in decision making;
Destruction of company value; and
Disruption of family ties.
The objective of the services is to develop an exclusive Management Model, which meets the
aspirations of shareholders and allows the company to reach its full Value Creation potential.
The services aim to contribute to improving the current governance model, through a more
elaborate definition of the management partners' actions, if possible, in a harmonious,
consensual and objective manner, in addition to greater clarity in strategic definitions related
to the company's future.
Based on the understanding of the individual aspirations of shareholders, seek to facilitate a
consensus among partners for the collective aspirations of the Group or promote a corporate
reorganization, always prioritizing the Creation of Value for the Company.
The services seek the best solutions from a corporate and tax perspective, always in
partnership with lawyers:
Understanding the group's situation and the individual aspirations of shareholders;
Analysis of the group's companies, from economic and financial, marketing, management
and governance points of view;
Seek a consensus solution among the partners or, if this is not possible, seek alternatives,
prioritizing the creation of value in the company;
Strategic assessment of current business and development of a cohesive corporate concept
by the partners for the group's future;
Determination of the roles of partners as Managers and Shareholders, their duties and
responsibilities, as well as analysis of the position of heirs in management;
Preparation of a succession plan, if necessary;
Improvement of the partners' decision-making system;
Analysis of the current information transmission system and, if necessary, re-discussion,
aiming for a better understanding for every party;
In a situation of consensus among shareholders, services include:
Coordinate efforts to sign a new corporate agreement between shareholders, with
compliance and governance rules;
Strategic consultancy in the implementation of decisions taken and in the management of
controlled and associated companies;
Support to shareholders in various means of action in corporate governance, including the
installation and performance of Boards of Directors and Fiscal Councils;
Support shareholders in the financial assessment of assets and course of action decisions;
Coordination of Shareholder Meetings, in addition to individual prior meetings when
necessary;
Together with partners, establish new financial guidelines;
Development of management remuneration and dividend distribution policies.
Advise and monitor negotiations for the sale of assets, if applicable.
In a situation with a low degree of consensus among shareholders, services may include
several options like:
Corporate reorganization;
Potential sale of assets, with definition of the destination of the proceeds;
Division of assets, considering business profiles and meeting shareholders' aspirations;
Search for an external partner, which involves both the search for potential interested
parties and support in conducting negotiations;
Assessment of risks and opportunities relating to capital contributions, whether through IPO,
Private Equity, sale of shares to companies in the sector, among other possibilities.
Management of minority interests
Services in this area pursue two objectives: creating Value and Liquidity for holdings.
The scope of services typically involves:
Analysis of the group's companies, from economic and financial, marketing, management
and governance points of view;
Thorough analysis and investigation of the financial statements and other data made
available, looking for flaws and possible improvements, as well as elements that may
characterize poor management on the part of the controlling group;
Support to shareholders in various means of action in corporate governance, including the
installation and performance of Boards of Directors and Fiscal Councils;
Support shareholders in the financial assessment of assets and course of action decisions;
Search for consensus and dispute resolution, as well as implementation of adopted
decisions;
With the support of lawyers, support in decisions and operationalization of any legal
measures to be applied;
If interested in selling the stake, search for potential parties interested in the acquisition and
support in conducting negotiations.
For minority stakes, BH26 adopts the “nose in, fingers out” strategy, with management
monitoring, thorough data investigation and control mechanisms, looking for flaws and
possible improvements, in order to guarantee shareholder rights and avoid actions that could
compromising the value of the company on the part of the controller.
BH26 seeks the real value of assets in negotiations of liquidity events for minority
shareholders.
Corporate conflicts
BH26 understands that operating in this segment requires specific knowledge and
characteristics that can be adapted to each case. In this sense, for several years BH26 has been
recognized by the market as the main financial boutique with this focus
BH26 can advise on conflicting control situations, shared control or minority shareholders. The
scope of services typically involves:
Analysis of the group's companies, from economic and financial, marketing, management
and governance points of view;
Thorough analysis and investigation of financial statements and other data available, looking
for flaws and possible improvements;
Support to shareholders in various means of action in corporate governance, including the
installation and performance of Boards of Directors and Fiscal Councils;
Support shareholders in the financial assessment of assets and course of action decisions;
Search for consensus and dispute resolution, as well as implementation of adopted
decisions;
With the support of lawyers, support in decisions and operationalization of any legal
measures to be applied;
Support in conducting negotiations with the other party in the case of interest in acquiring or
selling shares between the groups in conflict, as well as in the search for potential interested
third parties.
This differentiated performance means that BH26 is involved in several of the main
transactions in the segment in Brazil.
BH26 brings a financial analysis bias to assist the actions of Administration and Fiscal Councils,
with legal support. The operating model includes support for shareholders in valuing assets,
seeking consensus and resolving disputes, and advising on the implementation of decisions,
